Terms of Service

1. Acceptance of Terms

By accessing or using Varden Homes ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization.

The Service is offered subject to your acceptance of these Terms, our Privacy Policy, and all other operating rules, policies, and procedures that may be published by Varden Homes. Varden Homes reserves the right to modify these Terms at any time.

2. Description of Service

Varden Homes is a property management platform that provides landlords and property managers with tools for:

• Automated rent collection via ACH bank transfers
• Digital lease creation and electronic signatures
• Tenant screening including credit, criminal, and eviction reports
• Maintenance request tracking and vendor coordination
• Property listing syndication to third-party platforms
• Financial reporting and accounting tools

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all risks of unauthorized access to your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age.

4. Platform Fees

Varden Homes charges a platform fee of 5% of collected rent. This fee is deducted automatically when rent payments are processed through our platform. You will only be charged when rent is successfully collected.

Additional fees may apply for optional services including:

• Tenant screening reports (fees paid by applicants unless otherwise specified)
• Premium listing placements
• Expedited payment processing
• Additional user seats beyond your plan limits

All fees are non-refundable unless otherwise stated or required by law.

5. Payment Processing

Payment processing services are provided by Stripe, Inc. By using our payment features, you also agree to Stripe's Terms of Service and Privacy Policy.

Varden Homes is not a bank and does not hold deposits. All funds are processed through our payment partners and deposited directly into your designated bank account.

6. Landlord Responsibilities

As a landlord using the Service, you are responsible for:

• Compliance with all applicable federal, state, and local laws including fair housing laws
• Accuracy of property listings and rental terms
• Maintaining valid property ownership or management authorization
• Timely response to maintenance requests and tenant communications
• Proper handling of security deposits in accordance with state law
• Providing habitable living conditions as required by law

7. Tenant Responsibilities

Tenants using the Service agree to:

• Provide accurate personal and financial information
• Make timely rent payments as specified in their lease agreement
• Report maintenance issues promptly through the platform
• Comply with all terms of their lease agreement
• Maintain accurate contact information in their account

8. Electronic Signatures

The Service provides electronic signature functionality that complies with the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). By using our e-signature features, you agree that:

• Electronic signatures are legally binding
• You consent to conducting transactions electronically
• You have the technical capability to receive and retain electronic records
• You may withdraw consent by contacting us, though this may limit Service functionality

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Varden Homes and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you upload to the Service, but grant Varden Homes a license to use, store, and display such content as necessary to provide the Service.

10. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Discriminate against any person based on protected characteristics
• Post false, misleading, or fraudulent content
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Collect user information without consent
• Use the Service for any illegal purpose

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VARDEN HOMES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Varden Homes is a software platform and does not provide legal, financial, or real estate advice. Users should consult with qualified professionals for specific advice related to their properties and tenancies.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARDEN HOMES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to Varden Homes in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Varden Homes and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

14. Termination

Either party may terminate this agreement at any time. Varden Homes may suspend or terminate your account immediately for any violation of these Terms. Upon termination:

• Your right to use the Service will cease immediately
• Any outstanding fees will become due
• You may request export of your data within 30 days
• Provisions that should survive termination will remain in effect

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
