IMPORTANT: PLEASE READ THIS DISCLOSURE CAREFULLY BEFORE USING VARDEN'S HOME SALE FEATURES. This Platform & Agency Disclosure ("Disclosure") explains the nature of Varden Homes LLC's ("Varden," "we," "us," or "our") services and clarifies our relationship with users of the platform.

1. Varden Is a Technology Platform

Varden is a technology platform that provides tools for listing, marketing, and managing real estate transactions. Varden is NOT a real estate brokerage, real estate agent, real estate broker, attorney, title company, escrow agent, appraiser, or financial advisor.

Our platform provides software tools that enable homeowners to list their properties for sale by owner (FSBO), communicate with potential buyers, access document templates, and use data-driven pricing estimates. These tools are provided as a technology service only.

2. No Agency Relationship

By using Varden, you acknowledge and agree that:

  • Varden does not act as your agent, broker, or representative in any capacity
  • Varden does not represent sellers, buyers, landlords, tenants, or any other party in negotiations or transactions
  • No agency, fiduciary, or advisory relationship is created between Varden and any user
  • Varden does not owe any fiduciary duties to any user, including duties of loyalty, care, confidentiality, or disclosure
  • Varden employees, contractors, and support staff are not licensed real estate agents or brokers and cannot provide real estate advice

If you require representation in a real estate transaction, we strongly recommend hiring a licensed real estate agent or attorney in your state.

3. Services We Provide

Varden provides the following technology tools and services:

3.1 Listing Tools

  • Property listing creation and publication
  • Photo and media upload and management
  • Listing syndication to third-party platforms
  • Listing analytics and performance metrics

3.2 Communication Tools

  • In-platform messaging between sellers and verified buyers
  • Showing scheduling tools
  • Notification systems

3.3 Document Templates

  • State-specific purchase agreement templates
  • Seller property condition disclosure forms
  • Lead-based paint disclosure forms
  • Addendum and counteroffer templates
  • Electronic signature capabilities

3.4 Pricing Tools

  • Algorithmic pricing estimates based on comparable sales data
  • Market trend analysis
  • Price-per-square-foot benchmarks

4. Services We Do NOT Provide

Varden explicitly does NOT provide the following services:

  • Real estate brokerage: We do not negotiate, facilitate, or manage real estate transactions on your behalf
  • Legal advice: We do not provide legal advice, legal opinions, or legal representation. Document templates are provided for convenience only and are not substitutes for attorney-drafted contracts
  • Professional appraisals: Our pricing tools provide algorithmic estimates only, not Broker Price Opinions (BPOs) or certified appraisals
  • Escrow services: We do not hold, manage, or transfer earnest money, deposits, or sale proceeds
  • Title services: We do not conduct title searches, provide title insurance, or handle title transfers
  • Closing services: We do not conduct real estate closings, prepare deeds, or handle settlement
  • Financial or tax advice: We do not provide financial planning, tax advice, or mortgage assistance
  • Property inspections: We do not inspect properties or verify the accuracy of seller disclosures

5. Important Disclaimers

5.1 Document Templates

Purchase agreement templates, disclosure forms, and other document templates provided through our platform are offered for informational and convenience purposes only. These templates:

  • Are not substitutes for contracts drafted or reviewed by a licensed attorney
  • May not comply with all local, county, or municipal requirements in your jurisdiction
  • May not address all circumstances or contingencies relevant to your specific transaction
  • Are provided "as-is" without warranty of completeness, accuracy, or enforceability

We strongly recommend that all parties consult with a licensed real estate attorney before executing any purchase agreement or legal document.

5.2 Pricing Estimates

Pricing estimates generated by our tools are algorithmic suggestions based on publicly available data and are NOT professional appraisals, Broker Price Opinions (BPOs), or Comparative Market Analyses (CMAs). These estimates:

  • Should not be relied upon as the sole basis for pricing decisions
  • May not account for property condition, upgrades, or unique features
  • May not reflect current market conditions in your specific neighborhood
  • Are not prepared by licensed appraisers or real estate professionals

5.3 Property Information

All property information, including descriptions, photos, disclosures, and condition reports, is provided by sellers and is not independently verified by Varden. Varden makes no representations or warranties about the accuracy, completeness, or reliability of any property information.

5.4 Transaction Outcomes

Varden does not guarantee any transaction outcomes, including but not limited to: sale price, time to sell, number of buyer inquiries, or successful closing. Real estate transactions involve inherent risks and uncertainties that are beyond the control of any technology platform.

6. Your Responsibilities

As a user of Varden's home sale features, you are responsible for:

  • Complying with all federal, state, and local laws governing real estate transactions in your jurisdiction
  • Providing accurate and complete property information and disclosures
  • Determining whether your state requires attorney involvement in real estate closings
  • Hiring qualified professionals (attorneys, inspectors, appraisers, title companies) as needed
  • Independently verifying all information provided by other parties
  • Understanding and complying with fair housing laws
  • Ensuring all required disclosures are provided to buyers as required by law
  • Arranging for title search, title insurance, and closing services through qualified providers

7. Attorney-Required States

The following states generally require or strongly recommend attorney involvement in real estate closings. If your property is located in one of these states, you should consult with a licensed real estate attorney:

  • Connecticut, Delaware, Georgia, Hawaii, Kansas, Kentucky, Maine, Maryland, Massachusetts
  • Mississippi, New Hampshire, New Jersey, New York, North Carolina, North Dakota, Pennsylvania
  • Rhode Island, South Carolina, Vermont, Virginia, West Virginia

8. Fair Housing Compliance

All users must comply with the Fair Housing Act (42 U.S.C. § 3601 et seq.) and applicable state and local fair housing laws. It is illegal to discriminate in the sale of housing based on race, color, religion, sex, national origin, familial status, disability, or other protected characteristics. 9. Wire Fraud Warning

Real estate transactions are frequent targets of wire fraud. Varden will never send you wiring instructions by email. Always verify wiring instructions by calling a known, trusted phone number before transferring any funds. See our Wire Fraud Warning for important safety information.

10. Changes to This Disclosure

We may update this Disclosure from time to time to reflect changes in our services, legal requirements, or industry practices. We will notify you of material changes by posting the updated Disclosure on our platform and updating the "Last updated" date. Your continued use of our home sale features after changes are posted constitutes acceptance of the updated Disclosure.
