This Electronic Signature Consent ("Consent") describes your agreement to use electronic signatures and receive documents electronically when using Varden services for property management and home sale transactions. Please read this document carefully before agreeing to conduct transactions electronically.

By clicking "I Agree," checking a consent box, typing your name as a signature, or otherwise indicating your consent, you are agreeing to be bound by this Consent and to receive disclosures, notices, and documents electronically.

1. Agreement to Use Electronic Signatures

By using Varden and its electronic signature features, you agree that:

  • Electronic signatures are legally binding and have the same legal effect as handwritten signatures
  • You consent to conducting transactions electronically, including signing documents
  • You consent to receiving documents, notices, and disclosures in electronic form
  • You intend to be legally bound by documents you sign electronically
  • Electronic records satisfy any requirement for written records
  • You will not challenge the validity of electronically signed documents based solely on their electronic nature

2. Legal Framework

Our electronic signature system is designed to comply with applicable laws governing electronic signatures:

2.1 Federal Law

  • Electronic Signatures in Global and National Commerce Act (ESIGN Act): Federal law enacted in 2000 that establishes the legal validity of electronic signatures and records in interstate and foreign commerce
  • ESIGN provides that electronic signatures and records cannot be denied legal effect solely because they are in electronic form

2.2 State Law

  • Uniform Electronic Transactions Act (UETA): Adopted by 47 states plus the District of Columbia, UETA provides uniform rules for electronic transactions at the state level
  • States that have not adopted UETA (New York, Illinois, Washington) have their own electronic signature statutes that we comply with

2.3 Real Estate Specific Requirements

While most real estate documents can be signed electronically, certain documents may have additional requirements in some states:

  • Lease agreements may require specific disclosures to be separately acknowledged
  • Some states require specific formatting for certain clauses
  • Certain documents may require witnesses or notarization (handled separately)
  • Lead-based paint disclosures must be acknowledged prior to signing leases for pre-1978 housing
  • Purchase agreements and sale disclosure forms may require separate acknowledgment and state-specific addendums

3. Documents That May Be Signed Electronically

On Varden, you may sign the following types of documents electronically. The legal validity of these documents when signed electronically is recognized in all 50 states.

3.1 Lease Documents

  • Residential lease agreements (month-to-month and fixed-term)
  • Lease renewals and extensions
  • Lease amendments and modifications
  • Lease addendums (pet, parking, storage, roommate, etc.)
  • Early termination agreements
  • Sublease agreements (where permitted)

3.2 Disclosure Documents

  • Lead-based paint disclosure and acknowledgment (pre-1978 housing)
  • Mold disclosure and acknowledgment
  • Bed bug disclosure (where required)
  • Flood zone disclosure
  • Sex offender registry notification (where required)
  • Move-in condition checklist
  • Move-out inspection reports
  • Security deposit disposition statements

3.3 Application and Screening

  • Rental applications
  • Authorization to conduct background and credit checks
  • FCRA disclosure and consent
  • Income and employment verification authorization
  • Previous landlord reference authorization

3.4 Notices and Communications

  • Notice of intent to vacate
  • Rent increase notices
  • Notice of entry
  • Notice to cure or quit (violation notices)
  • Maintenance authorization forms
  • Payment agreements and plans

3.5 Financial Documents

  • ACH authorization forms
  • Autopay enrollment
  • Security deposit agreements
  • Rent receipts and statements

3.6 Home Sale Documents

  • Purchase agreements and contracts of sale
  • Seller property condition disclosure forms
  • Lead-based paint disclosure and acknowledgment (for pre-1978 homes)
  • Counteroffers and addendums
  • Buyer pre-qualification letters and proof of funds acknowledgments
  • Home inspection contingency waivers or releases
  • Appraisal contingency documents
  • Title and escrow instructions acknowledgment
  • Closing disclosure acknowledgment
  • FIRPTA affidavits and certifications
  • Wire fraud acknowledgment forms

4. How Electronic Signatures Work

4.1 Signature Methods

When you sign a document on Varden, you may use one of the following methods:

  • Typed signature: Type your name to create your signature. Your typed name in the designated signature field constitutes your legal signature.
  • Drawn signature: Use your mouse, touchpad, stylus, or finger to draw your signature on screen.
  • Uploaded signature: Upload an image of your handwritten signature.
  • Click-to-sign: For certain documents, clicking an "I Agree" or "Sign" button indicates your signature.

4.2 Identity Verification

Before signing, we verify your identity through one or more methods:

  • Account authentication: You must be logged in with your email and password
  • Email verification: Signing links sent to your registered email address
  • SMS verification: One-time codes sent to your verified phone number
  • Knowledge-based authentication: Questions based on your credit history (for certain documents)
  • Government ID verification: Photo ID upload and verification (for high-value transactions)

4.3 Signature Process

  1. You receive a notification that a document requires your signature
  2. You log in to your Varden account or use a secure signing link
  3. You review the complete document, including all pages and attachments
  4. You complete required fields (date, initials, checkboxes) as indicated
  5. You apply your signature using your chosen method
  6. You confirm your signature by clicking "Complete" or similar
  7. You receive a confirmation and a copy of the signed document

4.4 Audit Trail

Every signed document includes a complete, tamper-evident audit trail that provides legal evidence of the signing process. The audit trail documents:

  • Date and time of each signature (in UTC with timezone conversion)
  • IP address of the device used for signing
  • Email address and user ID of the signer
  • Authentication method(s) used to verify identity
  • Signature method (typed, drawn, uploaded, or click)
  • Browser and device information
  • Document version and cryptographic hash for integrity verification
  • Certificate of completion with signing timestamps

5. Technical Requirements

To use electronic signatures on Varden, you need:

5.1 Hardware

  • A computer, tablet, or smartphone with internet access
  • Screen resolution sufficient to view documents clearly (1024x768 minimum recommended)
  • For drawn signatures: touchscreen, mouse, or touchpad

5.2 Software

  • A current web browser (we support current and two prior major versions)
  • JavaScript enabled
  • Cookies enabled (for session management)
  • PDF viewer (for downloading signed documents)

5.3 Supported Browsers

  • Google Chrome (recommended)
  • Apple Safari
  • Mozilla Firefox
  • Microsoft Edge

5.4 Email

  • A valid email address capable of receiving attachments
  • Email client that can display HTML emails
  • Ability to receive emails from @vardenhomes.com domain

5.5 Mobile Apps

Our mobile applications for iOS and Android fully support electronic signatures. Mobile signing provides the same legal validity as desktop signing.

6. Document Delivery and Retention

6.1 Electronic Delivery

Signed documents will be delivered to you electronically via:

  • Email with PDF attachment immediately after signing
  • In-app notifications with links to view documents
  • Your Varden document library (always accessible when logged in)
  • SMS notification with link (if enabled)

6.2 Document Storage

All signed documents are:

  • Stored securely in your Varden account with encryption
  • Available for download at any time while your account is active
  • Protected with tamper-evident cryptographic sealing
  • Backed up across multiple geographic locations
  • Retained for at least 7 years after the document expires or is terminated

6.3 Document Export

You can export your documents at any time:

  • Download individual documents as PDF files
  • Request a complete export of all your documents
  • Audit trails and certificates are included with exports

6.4 Paper Copies

You may request paper copies of any electronically signed document:

  • Self-service: Download the PDF from your account and print it
  • Requested copy: Contact support@vardenhomes.com to request a mailed paper copy (fees may apply for printing and shipping)

7. Your Rights

7.1 Right to Receive Paper Documents

You have the right to receive paper copies of documents instead of electronic versions. If you wish to receive paper documents for a specific transaction:

  • Contact us before signing to request paper-based processing
  • Additional time may be required for paper document processing
  • Certain services may be limited or unavailable without electronic consent

7.2 Right to Withdraw Consent

You may withdraw your consent to electronic signatures and records at any time by:

  • Updating your preferences in your account settings
  • Contacting us at support@vardenhomes.com

Important: Withdrawing consent:

  • Does not affect the validity of documents already signed electronically
  • May limit your ability to use certain Varden features
  • May require alternative (slower) processes for document execution
  • Takes effect for future transactions only

7.3 Right to Updated Information

If our technical requirements change in a way that materially affects your ability to access or sign documents electronically, we will notify you and provide an opportunity to withdraw consent at that time.

7.4 Updating Contact Information

To ensure you receive all electronic documents and notifications, you must keep your email address and phone number current in your account settings. You are responsible for maintaining accurate contact information.

8. Witnessing and Notarization

8.1 Witness Requirements

Some states or document types may require witness signatures. When witnesses are required:

  • Witnesses can sign electronically through our platform
  • Witness identity is verified through our standard authentication process
  • The witness's signature is included in the audit trail
  • Witnesses should be disinterested parties (not landlord, tenant, or family members)

8.2 Notarization

Most lease agreements and property management documents do not require notarization. However, when notarization is required:

  • Remote Online Notarization (RON) may be available in supported states
  • RON involves a live video session with a commissioned notary
  • Additional identity verification is required for notarization
  • Traditional in-person notarization remains available as an alternative

9. Authorized Representatives and Delegation

9.1 Signing on Behalf of Others

You may only sign documents on behalf of another person or entity if you have legal authority to do so. This includes:

  • Power of Attorney: You hold a valid power of attorney authorizing you to sign
  • Corporate Authority: You are an authorized officer, director, or manager of a business entity
  • Property Management Authority: You have a signed property management agreement authorizing you to act
  • Guardian/Conservator: You are a court-appointed guardian or conservator

9.2 Team Member Signatures

For property managers using team features, each team member who signs documents must use their own account and credentials. Sharing login credentials is prohibited.

9.3 Signature Authority Verification

When signing on behalf of others, you may be required to provide documentation of your authority (e.g., power of attorney document, corporate resolution, or management agreement).

10. Security

We protect the integrity and security of electronically signed documents through:

10.1 Technical Safeguards

  • 256-bit TLS encryption for all data transmission
  • AES-256 encryption for stored documents
  • SHA-256 cryptographic hashing to detect document tampering
  • Digital certificates for document sealing
  • Secure cloud storage across multiple data centers

10.2 Access Controls

  • Authentication required to access documents
  • Multi-factor authentication available and recommended
  • Session timeouts for inactive users
  • Audit logging of all document access

10.3 Document Integrity

  • Tamper-evident sealing after signatures are complete
  • Any modification to a signed document invalidates signatures
  • Hash verification available to confirm document integrity
  • Long-term validation ensuring signature validity over time

11. State-Specific Requirements

Our platform automatically applies state-specific requirements for electronic signatures and disclosures. Key considerations by state include:

11.1 California

  • Specific language required for security deposit disclosures
  • Rent control disclosures in applicable jurisdictions
  • Mold disclosure requirements

11.2 New York

  • Electronic signature law differs from UETA
  • Specific requirements for rent-regulated units
  • Bed bug disclosure requirements

11.3 Texas

  • Specific move-in inventory requirements
  • Orally communicated defects must be documented in writing

11.4 Other States

We maintain compliance with all state-specific requirements for electronic signatures in rental transactions. Our system automatically includes required disclosures and formatting based on the property location.

12. Disputes and Legal Proceedings

Electronically signed documents are admissible in court and have the same legal effect as paper documents with handwritten signatures.

  • The audit trail serves as evidence of the signing process
  • Document integrity can be verified through cryptographic hash
  • We can provide certified copies and testimony regarding our electronic signature process
  • Expert authentication is available if required by a court

13. Changes to This Consent

We may update this Electronic Signature Consent from time to time. When we make changes:

  • We will update the "Last updated" date at the top of this document
  • For material changes, we will notify you by email or through the platform
  • Your continued use of electronic signature features after changes constitutes acceptance
  • You may withdraw consent if you disagree with changes
